1. Acceptance of Terms

By accessing or using Stillwyn, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

2. Description of Service

Stillwyn provides AI-assisted practice management software for licensed mental health professionals. Our service includes scheduling, billing, documentation, and administrative support through our AI assistant, Sage.

3. User Eligibility

Stillwyn is intended for use by licensed healthcare professionals only. By using our service, you represent that you are a licensed practitioner in good standing in your jurisdiction.

4. HIPAA Compliance

We will sign a Business Associate Agreement (BAA) with all customers. Both parties agree to maintain HIPAA compliance in all handling of Protected Health Information (PHI).

5. User Responsibilities

• Maintain the confidentiality of your account credentials
• Ensure all information entered is accurate and lawful
• Use the service in compliance with all applicable laws and regulations
• Maintain appropriate licensure and insurance
• Report any suspected security breaches immediately

6. Prohibited Uses

You may not:

• Use the service for any unlawful purpose
• Share PHI outside of the platform's secure environment
• Attempt to reverse engineer or compromise our systems
• Use automated systems to access the service
• Impersonate another person or entity

7. Payment Terms

Subscription fees are billed monthly or annually in advance. The Stillwyn 100 receive special pricing locked in for their subscription lifetime. We offer a 30-day money-back guarantee for new customers.

8. Data Ownership

You retain full ownership of all your data. We claim no rights to your client information, notes, or practice data. You can export your data at any time in standard formats.

9. Intellectual Property

All content, features, and functionality of Stillwyn are owned by Stillwyn, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

STILLWYN IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IN NO EVENT SHALL STILLWYN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. Our maximum liability shall not exceed the amount paid by you in the preceding 12 months.

11. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination, you will have 90 days to export your data. We will assist with data migration to ensure continuity of care.

12. Governing Law

These terms are governed by the laws of Virginia, without regard to conflict of law principles.
